AD Announces Intent to Acquire supplyFORCE

Subject to supplyFORCE Shareholders and AD Board of Directors approvals, AD announced that the AD LLC and supplyFORCE Boards have signed an exclusive Letter of Intent for AD to acquire supplyFORCE.

Bill Weisberg, AD Chairman and CEO, said in the press release, “AD exists to provide strong independents with a vehicle to collaborate efficiently on discreet matters where collaboration with fellow independents is necessary and beneficial. Over the years, AD has expanded well beyond typical buying group functions to offer a broad and optional menu of innovative programs and services. A program to enable the efficient collaboration of independents with national accounts is a natural addition to that portfolio. We are honored and excited to have the opportunity to utilize supplyFORCE and the good people who work at supplyFORCE, as the foundation of that service.”

“As we look to the future, Independents will require increasingly more complex and technically advanced solutions that allow Independents to compete in a seamless and cost-effective manner servicing large, multi-site customer opportunities,” said John Harman, president of The Kendall Group and supplyFORCE Chairman. “AD is well positioned to make the necessary investments to enable its membership to compete more effectively across the network. Their multi-divisional strategy will allow supplyFORCE to expand into new markets and provide broader capabilities than Independents have today. We are investing in our future.”

AD and the supplyFORCE Boards are actively working through a due diligence process. The transaction is subject to customary closing conditions and necessary shareholder and Board approvals and is expected to close during the third quarter in 2026.
